1. About Ackmode

Ackmode is a business automation consultancy that designs, builds and maintains intelligent automation systems. We operate primarily in Spain and across the EU. For any queries, contact us at info@ackmode.com.

2. Services

Ackmode provides custom automation consulting and implementation services, including but not limited to:

• → Business process automation (n8n, Zapier, Make)
• → AI agent design and deployment
• → Online reputation management automation
• → Automated reporting and dashboards
• → Ongoing maintenance and support

The exact scope of work, deliverables, timeline and price for each project are defined in a separate written agreement (proposal or contract) provided before work begins.

3. Free audit call

The free 30-minute audit is a no-commitment introductory call. It does not constitute a contract or guarantee of future work. Any recommendations made during the call are indicative only. No payment is required to book or attend the audit.

4. Payment terms

• → Payment schedules are defined in each individual project proposal.
• → Standard projects require a 50% deposit before work begins, with the remainder due upon delivery.
• → Monthly maintenance plans are billed at the start of each calendar month.
• → Invoices are due within 14 days of issue unless otherwise agreed in writing.

5. Intellectual property

Upon full payment, the client owns all custom workflows and automation systems built specifically for them.

Ackmode retains the right to reuse generic components, methodologies and non-client-specific code. We may reference the project type (without identifying details) as a case study unless you request otherwise in writing.

6. Client responsibilities

To deliver the project successfully, the client agrees to:

• ✓ Provide timely access to required systems, credentials and information
• ✓ Designate a point of contact who can make decisions
• ✓ Review and approve deliverables within agreed timeframes
• ✓ Ensure all provided data and content complies with applicable laws

7. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. This includes business processes, client data, pricing and technical implementations. This obligation survives termination of the agreement.

8. Limitation of liability

Ackmode's liability for any claim arising from our services is limited to the total fees paid for the specific project giving rise to the claim.

We are not liable for indirect, incidental or consequential damages, including loss of revenue, data loss, or business interruption caused by third-party services or tools (including n8n, OpenAI, Google, WhatsApp, Stripe, or Calendly) that we integrate but do not operate.

9. Cancellation and termination

• → Either party may terminate a project with 14 days' written notice.
• → Work completed up to the cancellation date will be invoiced and is payable.
• → Monthly maintenance plans can be cancelled with 30 days' notice, effective at the end of the current billing period.

10. Governing law

These terms are governed by the laws of Spain. Any disputes will be subject to the exclusive jurisdiction of the courts of Spain, unless otherwise required by applicable consumer protection law.

11. Changes to these terms

We may update these terms from time to time. The current version is always published on this page with the "last updated" date. Continued use of our services after changes are posted constitutes acceptance of the revised terms.
